The Boardroom in the Rain

Chapter 09 - The Boardroom in the Rain

The emergency meeting took place in the Whitmore Tower boardroom while a storm darkened the city.

Eleanor sat at the head of the table.

Victor sat to her right.

Michael’s chair remained empty until the elevator doors opened.

Claire entered first in her wheelchair.

Rosa pushed from behind.

Michael followed carrying the blue legal case recovered from Dr. Vale’s office under warrant.

Directors whispered.

Eleanor did not stand.

“This meeting concerns corporate governance, not family theater.”

Claire placed Graham’s codicil on the table.

“Then governance should interest you.”

The company counsel read the amendment.

Any medically coerced beneficiary triggered immediate suspension of family voting proxies. Independent directors would control the company until a court review.

Eleanor called it fraudulent.

Samuel Pierce appeared by video and confirmed the signature, witnesses, and filing instructions.

Victor moved to adjourn.

Claire objected.

She presented the pharmacy payments, the data-division liabilities, and evidence of unauthorized patient profiling.

Several directors claimed they had never seen the reports.

Michael believed some.

Not all.

He then disclosed his own failure.

“I approved the division’s growth budget without reviewing its consent architecture. I accepted summaries prepared by Victor’s office. I resign as chief executive effective immediately.”

Eleanor looked at him with open contempt.

“You surrender because your wife is emotional?”

“No. I resign because responsibility is not reduced by ignorance when ignorance is chosen.”

The independent directors voted to freeze the sale, remove Eleanor and Victor from management, and appoint an outside receiver.

The vote passed by one.

The final vote came from a director Eleanor had considered loyal for thirty years.

Margaret Lin, Whitmore’s first laboratory scientist.

She looked at Eleanor.

“Graham built medicine to reduce suffering. We built a market to price it.”

The company’s control shifted before noon.

Outside, the storm broke.

Inside, Eleanor remained seated at the head of a table that no longer answered to her.
