The Board Meeting Before the Birth

Chapter 10 - The Board Meeting Before the Birth

Margaret’s planned patent merger came before the board under emergency review.

The transaction would transfer fetal-monitoring technology developed with public research grants into a private company registered in Luxembourg.

Margaret’s allies would own most of it.

Cole Biomed would retain the liability and lose the profit.

Emma’s audit had stopped the signing.

Nathan attended the meeting but did not sit at the head of the table.

He had voluntarily stepped aside as chief executive pending investigation into documents approved through his office.

Grace Chen, the independent interim CEO, chaired the session.

Margaret joined remotely through counsel.

Her attorney argued that Emma’s trust role had not yet begun because the baby was unborn and paternity disputed.

Miriam presented an independent prenatal paternity test conducted with Emma’s informed consent under court supervision.

Nathan was the father.

Emma did not attend the board meeting.

She refused to turn medical information into corporate theater.

Miriam disclosed only the legal certification necessary to end the challenge.

The merger was rejected.

Margaret’s voting authority was suspended.

The patents remained with Cole Biomed.

Employees later praised Nathan for stopping the deal.

He corrected them.
